INED responsibilities
Acting as an independent and non-executive member of the Board of JN Bank UK Limited and proactively contribute, and provide constructive challenge, to the Board’s responsibilities for:
Setting strategy – contribute to the development of the appropriate strategy for the bank and provide constructive challenge on plans;
Assessment of performance – monitor and scrutinise the performance of executive management in meeting the agreed strategy and risk appetite using management information and discussion with management, together with individual and collective goals/objectives; and
Control framework – setting and monitoring the risk appetite of the organisation; ensuring that the organisation has appropriately robust policies, controls and systems of risk management in place to ensure financial information is accurate and to manage and mitigate risk in line with the agreed appetite.
As a director, you may be called upon to serve on board committees, eg Audit and Nominations/Remuneration. INEDs may be called upon to represent the Bank externally and to act as advocate for it.
Responsibilities of the Chair of the Risk Committee
Chairing and overseeing the performance of the Committee of the Board that has been established to oversee the risk management systems, policies and procedures of the bank
Ensuring that the Committee meets with sufficient frequency, devotes sufficient time and attention to the matters within its remit and receives appropriate management information
Ensuring that the Committee members have the appropriate knowledge, skills and expertise to fully understand and monitor the risk strategy and appetite of the bank
Reporting to the Board on the activities of the Committee and escalating matters/issues as appropriate including advice on the bank’s overall current and future risk appetite
Safeguarding the independence of the second line of defence Risk function

Essential criteria
Credit risk experience, specifically in connection with unsecured retail lending in the near-prime sector
Operational risk experience, including governance of outsourcing, integrated IT platforms and operational resilience
Practical knowledge and experience of risk frameworks, including oversight
Strong influencing and communication skills, including the ability to effectively chair meetings as well as encourage debate and challenge
Extensive experience of stakeholder engagement and proven ability to interact with and tailor approach to varied stakeholders
Ability to develop strategy and provide strategic direction
Affinity with the Bank’s desire to serve customers and communities
Undisputed integrity
A record of sound judgement, ability to work with others and apply common sense
Desirable criteria
Senior executive experience within a regulated financial services business in the UK
Understanding of best practice in corporate governance arrangements
Experience of business expansion and growth
Comfortable using technology and interested in trends in technology in financial services
